Terms of Use
In the following, we would like to present our Terms of Use, which we apply to the use of our Prof. Valmed – validated medical information® software. Prof. Valmed – validated medical information® is an AI-based, CE-marked medical device assists both the attending physicians and medical personnel for making decisions regarding diagnosis or therapy of diseases.

III. DEFINITIONS
i. Affiliate – any entity that controls, is controlled by, or is under common control with the subject entity.
ii. Confidential Information – all non-public information identified as confidential or reasonably understood as such.
iii. Content – Input and Output collectively.
iv. Customer Data – any data that identifies or can reasonably be used to identify You or Your end users, including Personal Data, provided under these Terms.
v. Input – the query provided by a user.
vi. Output – the response generated by Prof. Valmed – validated medical information®.
vii. Usage Data – usage and operational data in connection with use of the Service.
viii. Anonymized Data – data that has been de-identified so that no individual is identifiable.
ix. Content Derivatives – data, statistics, signals, and learnings derived from Content, provided such derivatives do not disclose Confidential Information.
x. Model Improvements – improvements to algorithms, models, features, and performance derived from the analysis of Content and Usage Data.
xi. Privacy Policy – Prof. Valmed – validated medical information®’s policy governing privacy.
xii. Service – Prof. Valmed – validated medical information®.
xiii. You/Your – the contracting individual or entity.

V. CHANGES AND ADJUSTMENTS
Beyond what is necessary to maintain contractual conformity of the services, Prof. Valmed – validated medical information® may change and adapt the Service if a valid reason requires this, including legal requirements, technical needs, or market conditions.
VI. CONTENT AND FEEDBACK
- to provide and maintain the Service;
- to ensure trust & safety, including quality monitoring, abuse detection, and compliance with regulatory requirements (including MDR post-market surveillance);
- to generate Content Derivatives and Anonymized Data; and
- to develop, test, and improve the Service, including Model Improvements.
VII. FEES AND PAYMENTS
The Fees for the Service shall be as agreed in the applicable Order Form or separate written agreement between the Parties. Unless otherwise specified, Fees are due in advance on the 3rd working day of each billing period. Prof. Valmed – validated medical information® reserves the right to adjust Fees with reasonable prior notice, subject to statutory provisions.
VIII. TERM AND TERMINATION
These Terms take effect when You accept them and remain in force until terminated. You may terminate at three months’ notice; Prof. Valmed may terminate at one month’s notice.
IX. LIMITATIONS OF LIABILITY
Prof. Valmed – validated medical information® shall only be liable in cases of intent and gross negligence, subject to statutory exceptions. Liability for minor negligence is limited to foreseeable damages typical of such contracts.
X. DATA PROTECTION
- Roles. The Parties act as independent controllers unless a Data Processing Agreement (DPA) specifies otherwise.
- Purposes. Prof. Valmed – validated medical information® processes Content and Usage Data as necessary to deliver the Service, ensure safety, comply with legal obligations, and improve the Service.
- Personal Data. If Personal Data is inadvertently provided, it will only be used for the above purposes and will be anonymized or deleted as soon as reasonably possible.
- Retention. Content may be stored up to 36 months as set forth in Section VI. Anonymized Data and Content Derivatives may be retained beyond that period without time limit.
- Model Improvements. Only Anonymized Data and Content Derivatives are used for Model Improvements unless the customer has explicitly agreed otherwise. Enterprise opt-out is respected under Section VI.iii.
- Security. Prof. Valmed – validated medical information® applies appropriate technical and organizational measures (Art. 32 GDPR).
- International Transfers. Where data is transferred outside the EU/EEA/Switzerland, appropriate safeguards (e.g., Standard Contractual Clauses) are applied.
- Subprocessors. A list of subprocessors is available upon request.
- Data Subject Rights. Data subjects may exercise rights under GDPR by contacting profvalmed@profvalmed.com.
XI. CONFIDENTIALITY
Each Party will protect the other’s Confidential Information.
For clarity, Prof. Valmed – validated medical information®’s use of Content in accordance with Section VI does not constitute a breach of confidentiality.
XII. FORCE MAJEUR
Neither Party will be liable for delays or failures caused by circumstances beyond their reasonable control.
XIII. FINAL PROVISIONS
Governing Law: Germany; exclusive venue: Frankfurt am Main.
All notices must be in writing (English) and sent to the contact email addresses.
Severability applies.
