Terms of Use
In the following, we would like to present our Terms of Use, which we apply to the use of our Prof. Valmed – validated medical information® software. Prof. Valmed – validated medical information® is an AI-based, CE-marked medical device assists both the attending physicians and medical personnel for making decisions regarding diagnosis or therapy of diseases.
I. SUBJECT MATTER.
Prof. Valmed – validated medical information® is a decision support system that can be used via web application. The software is an AI-based chatbot that processes natural language user questions and Inputs and generates natural language answers. Prof. Valmed – validated medical information® answers user questions on medical topics to provide health care professionals with recommendations for diagnosis or therapy of human diseases.
Prof. Valmed – validated medical information® does not generate patient-specific recommendations but reflects the current state of medical science by analysing and evaluating the relevant medical literature and guidelines which are fully publicly accessible. Therefore, its Output is not medical advice.
The Output of Prof. Valmed – validated medical information® is intended for general informational purposes only and is not intended as a substitute for professional medical advice, diagnosis or treatment. The Output is AI-generated and may contain errors and misstatements or may be incomplete.
Prof. Valmed – validated medical information® is provided on an as-is and as-available basis. Prof. Valmed – validated medical information® is a CE-marked medical device in the meaning of the Regulation (EU) 2017/745 (MDR).
II. GENERAL TERMS
These Terms of Use (“Terms”) are between Prof. Valmed – validated medical information® and You, each a “Party“ and together the “Parties“, and govern Your use of the Service.
If You are using Prof. Valmed – validated medical information® on behalf of another entity (such as your employer), You must have the authority to accept these Terms on their behalf.
Users signing up on their own behalf in their personal capacity should utilize their personal email address. Users signing up for use in their regular employment should sign up using their employer-provided email address.
Prof. Valmed – validated medical information® may update the Terms by posting updated Terms on its website. All changes become effective when posted. Prof. Valmed – validated medical information® shall inform You by e-mail at least six (6) weeks before any amendments come into effect. Unless You object within one (1) month, the amended Terms shall be deemed accepted. In case of objection, You may exercise a special termination right.
Prof. Valmed – validated medical information® may use subcontractors and other third-party providers in connection with the performance of its activities under these Terms as it deems appropriate, provided that it remains responsible for their performance.
III. DEFINITIONS
i. Affiliate – any entity that controls, is controlled by, or is under common control with the subject entity.
ii. Anonymized Data – data that has been de-identified in such a manner that no individual is identifiable, in accordance with applicable law. Anonymized Data may be used by Prof. Valmed – validated medical information® for analytics, regulatory compliance, quality assurance, statistical purposes, research and development, and Model Improvements.
iii. Confidential Information – all non-public information identified as confidential or reasonably understood as such.
iv. Content – Input and Output collectively.
v. Content Derivatives – data, statistics, signals, and learnings derived from Content, provided such derivatives do not disclose Confidential Information.
vi. Customer Data – any data that identifies or can reasonably be used to identify You or Your end users, including Personal Data, provided under these Terms.
vii. Enterprise Customer – a customer that has entered into a separate Order Form or enterprise agreement with Prof. Valmed – validated medical information® for the provision of the Service, typically involving multiple authorized users, organization-wide deployment, or customized contractual terms (including data processing agreements).
viii. Input – the query provided by a user.
ix. Model Improvements – improvements to algorithms, models, features, and performance derived from the analysis of Content and Usage Data.
x. Order Form – the ordering document (including any schedules, appendices, or statements of work) executed by the Parties that specifies the scope, pricing, term, and any special conditions applicable to the Service.
xi. Output – the response generated by Prof. Valmed – validated medical information®.
xii. Personal Data – as defined in Article 4(1) of Regulation (EU) 2016/679 (GDPR): “any information relating to an identified or identifiable natural person (‘data subject’); an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.”
xiii. Privacy Policy – Prof. Valmed – validated medical information®’s policy governing privacy.
xiv. Service – Prof. Valmed – validated medical information®.
xv. You/Your – the contracting individual or entity.
IV. USAGE
You may access, and we grant You the non-exclusive, revocable, non-transferable, non-sublicensable right to use Prof. Valmed – validated medical information®, subject to these Terms.
The Output obtained must not be used as a substitute for professional medical advice, diagnosis, or treatment.
You agree not to submit or process any Personal Data or Data concerning health as Input, but solely non-personal or anonymized data. Knowingly submitting such data constitutes a material breach of these Terms of Use. In case Personal Data is inadvertently submitted, Prof. Valmed – validated medical information® may temporarily process it strictly to the extent necessary to provide the Service, ensure integrity and security, and promptly anonymize or delete it in accordance with Section X. Such processing shall be limited to what is required to maintain system functionality and data security.
All intellectual property rights to Prof. Valmed – validated medical information® remain the sole property of Prof. Valmed. Unauthorized use is prohibited.
V. CHANGES AND ADJUSTMENTS
Beyond what is necessary to maintain contractual conformity of the services, Prof. Valmed – validated medical information® may change and adapt the Service if a valid reason requires this, including legal requirements, technical needs, or market conditions.
VI. CONTENT AND FEEDBACK
i. Ownership. You retain all rights, title, and interest in Your Content (Inputs and Outputs).
ii. License to Prof. Valmed. You grant Prof. Valmed – validated medical information® a worldwide, non-exclusive, transferable, royalty-free license to access, store, reproduce, and process Content solely for the following purposes (“Permitted Purposes”):
- to provide and maintain the Service;
 - to ensure trust & safety, including quality monitoring, abuse detection, and compliance with regulatory requirements (including MDR post-market surveillance);
 - to generate Content Derivatives and Anonymized Data; and
 - to develop, test, and improve the Service, including Model Improvements.
 
This license is granted solely for the Permitted Purposes and shall be exercised in accordance with applicable data protection laws, in particular Regulation (EU) 2016/679 (GDPR), and subject to confidentiality obligations.
iii. Enterprise Opt-Out. Enterprise Customers may, upon written request, exclude their Content from Model Improvements. Such Content may still be used for the other Permitted Purposes (support, safety, compliance, and operations).
iv. Retention. Prof. Valmed – validated medical information® may retain Content for up to 36 months for the Permitted Purposes, unless a shorter period is required by applicable law or agreed otherwise in writing. This retention period supports compliance with post-market surveillance obligations under Regulation (EU) 2017/745 (MDR), quality assurance, and audit requirements. After expiry of the retention period, Content containing Personal Data will be deleted or anonymized. Anonymized Data and Content Derivatives may be retained beyond this period without time limit.
v. Feedback. Any Feedback may be freely used by Prof. Valmed – validated medical information® without restriction.
vi. Similarity of Queries. You acknowledge that Inputs and Outputs may be similar or identical to those provided to other users.
VII. FEES AND PAYMENTS
The Fees for the Service shall be as agreed in the applicable Order Form or separate written agreement between the Parties. Unless otherwise specified, Fees are due in advance on the 3rd working day of each billing period. Prof. Valmed – validated medical information® reserves the right to adjust Fees with reasonable prior notice, subject to statutory provisions.
VIII. TERM AND TERMINATION
These Terms take effect when You accept them and remain in force until terminated. You may terminate at three months’ notice; Prof. Valmed may terminate at one month’s notice.
IX. LIMITATIONS OF LIABILITY
Prof. Valmed – validated medical information® shall only be liable in cases of intent and gross negligence, subject to statutory exceptions. Liability for minor negligence is limited to foreseeable damages typical of such contracts.
X. DATA PROTECTION
- Roles. The Parties act as independent controllers unless a Data Processing Agreement (DPA) specifies otherwise.
 - Purposes. Prof. Valmed – validated medical information® processes Content and Usage Data as necessary to deliver the Service, ensure safety, comply with legal obligations, and improve the Service.
 - Personal Data. If Personal Data is inadvertently provided, it will only be used for the above purposes and will be anonymized or deleted as soon as reasonably possible.
 - Retention. Content may be stored up to 36 months as set forth in Section VI. Anonymized Data and Content Derivatives may be retained beyond that period without time limit.
 - Model Improvements. Only Anonymized Data and Content Derivatives are used for Model Improvements unless the customer has explicitly agreed otherwise. Enterprise opt-out is respected under Section VI.iii.
 - Security. Prof. Valmed – validated medical information® applies appropriate technical and organizational measures (Art. 32 GDPR).
 - International Transfers. Where data is transferred outside the EU/EEA/Switzerland, appropriate safeguards (e.g., Standard Contractual Clauses) are applied.
 - Subprocessors. A list of subprocessors is available upon request.
 - Data Subject Rights. Data subjects may exercise rights under GDPR by contacting profvalmed@profvalmed.com.
 
XI. CONFIDENTIALITY
Each Party will protect the other’s Confidential Information.
For clarity, Prof. Valmed – validated medical information®’s use of Content in accordance with Section VI does not constitute a breach of confidentiality.
XII. FORCE MAJEUR
Neither Party will be liable for delays or failures caused by circumstances beyond their reasonable control.
XIII. FINAL PROVISIONS
Governing Law: Germany; exclusive venue: Frankfurt am Main.
All notices must be in writing (English) and sent to the contact email addresses.
Severability applies.
